Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Status International Global LLC, a Delaware limited liability company ("Status," "we," "our," or "us"). By accessing or using our platform and services, you agree to these Terms in their entirety.
1. Acceptance of Terms
By creating an account, accessing, or using the Status platform ("the Service"), you represent that you have the legal authority to bind your organization to these Terms. If you are accepting on behalf of an organization, you represent and warrant that you have the authority to do so. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Status is a cloud-based shop management platform designed for tire shops, automotive repair shops, quick-lube centers, and multi-store organizations (MSOs). The Service includes, but is not limited to:
- Work-in-progress (WIP) tracking and repair order management
- Digital vehicle inspections (DVI) and customer authorization
- Inventory management, purchasing, and parts ordering
- Point-of-sale and payment processing
- Customer relationship management (CRM) and communications
- Employee management, time and attendance, and payroll integration
- Accounting, general ledger, and financial reporting
- Appointment scheduling and online booking
- Multi-location and franchise management tools
- Reporting, analytics, and business intelligence dashboards
We may update, modify, or add features to the Service at our discretion. We will provide reasonable notice of material changes that affect your use of the Service.
3. User Accounts and Access
You are responsible for maintaining the confidentiality of all account credentials associated with your organization. You agree to:
- Provide accurate and complete registration information
- Promptly notify us of any unauthorized use of your account
- Ensure that users authorized under your account comply with these Terms
- Manage user access levels and permissions appropriately through the admin panel
You are responsible for all activities that occur under your account, including actions taken by any authorized users (employees, managers, administrators) you grant access to. Organization administrators control user permissions and are responsible for their users' compliance with these Terms.
4. Acceptable Use and Restrictions
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, or local law or regulation
- Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Use the Service to send spam, unsolicited communications, or phishing messages
- Upload malicious code, viruses, or attempt to compromise system security
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Resell, sublicense, or make the Service available to third parties without our prior written consent
- Use the Service to store or transmit content that infringes on the intellectual property rights of others
- Exceed published rate limits or use automated means to access the Service in a manner that degrades performance for other users
We reserve the right to suspend or restrict access to the Service if we reasonably determine that you are in violation of these restrictions.
5. Fees and Payment
Subscription Fees. The Service is offered on a subscription basis. Fees are as specified in your order form, pricing agreement, or the published pricing on our website. Unless otherwise stated, all fees are quoted in U.S. dollars.
Payment Terms. Fees are due in advance on the billing cycle agreed upon (monthly or annually). Payment must be made via credit card, ACH, or another accepted payment method. You authorize us to charge your designated payment method for all applicable fees.
Late Payments. Overdue amounts will accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is less). If payment is not received within fifteen (15) days of the due date, we may suspend access to the Service upon written notice.
Taxes. All fees are exclusive of applicable taxes. You are responsible for all sales, use, and other taxes associated with your use of the Service, excluding taxes based on our net income.
Fee Changes. We may adjust fees upon at least sixty (60) days' prior written notice before your next renewal period. Your continued use of the Service after such notice constitutes acceptance of the updated fees.
6. Data Ownership and Client Data
Your Data. You retain all right, title, and interest in and to any data you or your authorized users input into the Service ("Client Data"), including customer records, repair orders, invoices, inventory data, employee information, and financial records. We do not claim ownership of your Client Data.
License to Us. You grant us a limited, non-exclusive license to host, store, process, and display your Client Data solely for the purpose of providing and improving the Service. This license terminates when your account is terminated and your data is deleted.
Aggregate Data. We may create anonymized and aggregated data derived from your use of the Service ("Aggregate Data") that does not identify you, your organization, or your customers. We may use Aggregate Data for purposes including industry benchmarking, product improvement, and analytics. Aggregate Data will never include personally identifiable information.
Data Portability. You may export your Client Data at any time using our built-in export tools. Upon written request, we will provide a complete export of your Client Data in a standard machine-readable format within thirty (30) days.
7. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. We implement commercially reasonable security measures to protect Client Data, including encryption in transit and at rest, access controls, and regular security monitoring.
If you process personal data of individuals in jurisdictions with data protection laws (such as the CCPA), you are responsible for ensuring your use of the Service complies with applicable requirements. We will cooperate with you to fulfill data subject requests and regulatory obligations.
8. Third-Party Integrations
The Service may integrate with third-party services including but not limited to:
- Accounting systems (QuickBooks Online, Sage, Microsoft Dynamics 365)
- Payment processors (Stripe, credit card terminals)
- Parts suppliers and distributor networks
- SMS and email communication providers
- Payroll providers (ADP, Paychex, Gusto)
- CRM and marketing platforms
- Vehicle data providers (CARFAX, VIN decoders)
Your use of third-party integrations is subject to those providers' respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. Third-party integrations may be added, modified, or discontinued at any time.
9. SMS Communications
If you or your customers opt-in to SMS communications, you consent to receive text messages from Status for appointment reminders, service updates, digital inspection results, and business notifications. Message frequency varies. Reply STOP to opt out. Message and data rates may apply. See our SMS Consent Policy for details.
You are solely responsible for obtaining appropriate consent from your customers before using the Service to send them SMS or email communications, and for complying with all applicable laws including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
10. Intellectual Property
Our Rights. The Service, including all software, documentation, user interfaces, designs, algorithms, and content created by us, is the exclusive property of Status International Global LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
License Grant. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription solely for your internal business operations.
Trademarks. "Status," "Status International," and associated logos and marks are trademarks of Status International Global LLC. You may not use our trademarks without prior written consent, except as necessary to identify the Service in the ordinary course of your business.
Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable license to use such feedback for any purpose without compensation.
11. Service Availability and Support
Availability. We use commercially reasonable efforts to maintain Service availability. The Service is hosted on reliable cloud infrastructure with redundancy and failover capabilities. We do not guarantee uninterrupted or error-free operation.
Scheduled Maintenance. We will provide reasonable advance notice of planned maintenance windows that may affect Service availability.
Support. We provide technical support via email at support@statusig.com. Priority support and dedicated account management may be available under enterprise agreements.
12. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, our warranties are limited to the minimum required by applicable law.
13. Limitation of Liability
Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STATUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
Liability Cap. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this section apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above may not apply to you to the extent prohibited by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Status International Global LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content or data you submit through the Service
- Your infringement of any third-party rights
15. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Each party will use at least the same degree of care to protect the other party's Confidential Information as it uses to protect its own, but in no event less than reasonable care.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is lawfully received from a third party without restriction.
16. Termination
Termination by You. You may cancel your subscription at any time by providing written notice. Cancellation will take effect at the end of your current billing period. No refunds will be issued for partial billing periods unless otherwise required by law.
Termination by Us. We may suspend or terminate your account immediately if: (a) you breach these Terms; (b) your payment is overdue by more than thirty (30) days; (c) we are required to do so by law; or (d) we discontinue the Service. We will provide reasonable notice of termination when practicable.
Effects of Termination. Upon termination: (a) your right to access the Service ceases immediately; (b) you may request an export of your Client Data within thirty (30) days; (c) after the 30-day data retrieval period, we will delete your Client Data in accordance with our data retention policies; (d) any outstanding fees owed by you become immediately due and payable.
Survival. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, governing law, and any accrued payment obligations shall survive termination of these Terms.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the updated Terms on this page with a revised "Last updated" date; and (b) sending notice via email or in-app notification at least thirty (30) days prior to the changes taking effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
18. Governing Law and Dispute Resolution
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may bring an action in the state or federal courts located in Maricopa County, Arizona, and both parties consent to the exclusive jurisdiction and venue of such courts.
Waiver of Jury Trial. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL IN ANY ACTION ARISING UNDER OR RELATED TO THESE TERMS.
19. General Provisions
Entire Agreement. These Terms, together with any order forms and our Privacy Policy, constitute the entire agreement between you and Status with respect to the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, upon notice to you.
Force Majeure. Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, pandemics, acts of government, internet or telecommunications failures, or other force majeure events.
Notices. Notices to you may be sent to the email address on file for your account. Notices to us should be sent to legal@statusig.com.
Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between us.
